OVERVIEW

Welcome to Mint Creek. Mint Creek is a trade name operated by Liyah + Bash, LLC. The terms “Mint Creek,” “we,” “us,” and “our” refer to Mint Creek.

Mint Creek operates this website and online store, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping experience (collectively, the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced herein (collectively, the “Terms”), describe your rights and responsibilities when you access or use the Services.

Please read these Terms carefully. They contain important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with, or using the Services, including by purchasing a product from us, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, you should not access or use the Services.


SECTION 1 — ACCESS AND ACCOUNTS

By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or jurisdiction of residence. If you permit a minor dependent to use the Services through a device you own, purchase, or manage, you accept responsibility for their use of the Services.

To browse our store, create an account, or purchase products, you may be asked to provide information such as your name, email address, billing information, payment information, and shipping address. You represent that all information you provide is accurate, current, and complete and that you have the right to provide it.

You are responsible for protecting your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.


SECTION 2 — PRODUCTS AND AVAILABILITY

We make reasonable efforts to accurately present and describe our products. However, colors, textures, proportions, and other details may appear differently depending on your screen, device, display settings, lighting, or photography.

Product images may include styled, digitally edited, or computer-generated lifestyle presentations intended to demonstrate the design and appearance of a product. Product-page photographs, descriptions, measurements, materials, and specifications should be reviewed before purchasing.

We do not guarantee that a product’s appearance or perceived quality will exactly match how it appears on your device or meet every subjective expectation.

Product descriptions, prices, and availability may change without notice. We reserve the right to discontinue products or limit the quantities offered to any person, household, geographic region, or jurisdiction. Some products may be released in limited quantities and may not be restocked.


SECTION 3 — ORDERS

Submitting an order constitutes an offer to purchase. We reserve the right to accept, decline, limit, or cancel an order for any lawful reason, including suspected fraud, pricing or inventory errors, product unavailability, unauthorized resale, or violation of these Terms.

Your order is not accepted until payment has been successfully processed and we confirm acceptance. An automated order-confirmation email acknowledges that we received your order but does not necessarily constitute final acceptance.

Please review your order carefully before submitting it. We may begin processing orders shortly after they are placed and cannot guarantee that cancellation or modification requests can be accommodated.

If we decline, modify, or cancel an order, we will attempt to notify you using the email address, billing address, shipping address, or telephone number provided with the order. If payment has already been collected for a canceled order, the applicable amount will be refunded.

Unless we expressly authorize otherwise, products purchased from Mint Creek are intended for personal or household use and not for commercial resale or export.


SECTION 4 — PRICES, PROMOTIONS, AND BILLING

Prices, discounts, promotions, and product availability are subject to change without notice. The price charged will be the price shown when your order is placed and will appear in your order confirmation.

Unless expressly stated otherwise, displayed prices do not include taxes, shipping charges, customs duties, import fees, or other charges that may apply.

Prices offered online may differ from prices offered at pop-up events, physical retail locations, wholesale partners, or third-party marketplaces.

Promotions may be subject to separate terms, including eligibility requirements, expiration dates, product exclusions, purchase limits, and restrictions on combining offers. If separate promotional terms conflict with these Terms, the promotional terms will govern that promotion.

You agree to provide accurate and complete billing, payment, and account information and to promptly update that information when necessary.

You represent that you are authorized to use the payment method submitted, that the information is accurate, and that you will pay all authorized charges, including applicable shipping charges and taxes.


SECTION 5 — SHIPPING AND DELIVERY

Order-processing and delivery dates are estimates and are not guaranteed. Please review our Shipping Policy at https://mintcreek.co/policies/shipping-policy for current processing, delivery, and shipping information.

We are not responsible for delays caused by carriers, severe weather, customs processing, service interruptions, incorrect or incomplete addresses, or events outside our reasonable control.

You are responsible for providing a complete and accurate shipping address. Additional shipping charges resulting from an incorrect address, refused delivery, or unclaimed package may be deducted from a refund or charged before an order is reshipped, to the extent permitted by law.

Title and risk of loss transfer as permitted under applicable law. Nothing in this section limits any non-waivable consumer rights.


SECTION 6 — RETURNS, EXCHANGES, AND REFUNDS

Returns, exchanges, and refunds are governed by our Return and Refund Policy, available at https://mintcreek.co/policies/refund-policy.

Eligible returns must be requested within 14 days after the order is delivered and must satisfy the conditions stated in that policy.

For eligible domestic returns using a prepaid label provided by Mint Creek, a flat $6.95 return-shipping fee will be deducted from the refund. The fee is waived for approved claims involving damaged, defective, or incorrect items. Original shipping charges are nonrefundable unless otherwise required by law.

If these Terms conflict with the Return and Refund Policy on a matter specifically concerning returns or refunds, the Return and Refund Policy will control.


SECTION 7 — INTELLECTUAL PROPERTY

The Services and their contents—including trademarks, trade names, logos, slogans, product names, designs, artwork, illustrations, photographs, text, graphics, video, audio, layouts, and other materials—are owned by or licensed to Mint Creek and are protected by applicable intellectual-property laws.

These Terms permit you to use the Services only for lawful, personal, and noncommercial purposes.

Without our prior written permission, you may not reproduce, distribute, modify, create derivative works from, publicly display, republish, download, store, transmit, sell, license, or commercially exploit any material from the Services, except as allowed by applicable law.

Nothing in these Terms grants you any license or ownership right in the intellectual property of Mint Creek, Shopify, or any third party. All rights not expressly granted are reserved.

The Mint Creek name, logo, product designs, collection names, slogans, and other brand identifiers are trademarks or trade dress of Mint Creek or its licensors and may not be used without prior written permission.


SECTION 8 — OPTIONAL AND THIRD-PARTY TOOLS

We may provide access to tools, applications, payment services, social platforms, or features supplied by third parties. We do not necessarily control, monitor, or endorse these services.

Third-party tools are provided “as is” and “as available” to the fullest extent permitted by law. Your use of them is at your discretion and may be governed by additional terms and privacy policies established by their providers.

We may introduce new features, tools, or resources through the Services. Unless otherwise stated, those features will form part of the Services and will be subject to these Terms.


SECTION 9 — THIRD-PARTY LINKS

The Services may contain links to websites, services, or content operated by third parties. We are not responsible for examining or evaluating the accuracy, security, availability, policies, or practices of third-party services.

If you follow a third-party link, you do so at your own discretion. Please review the third party’s terms and privacy practices before providing information or completing a transaction.

Questions or complaints concerning third-party products or services should be directed to the applicable third party.


SECTION 10 — RELATIONSHIP WITH SHOPIFY

Mint Creek is powered by Shopify, which enables us to provide the Services to you. However, purchases made through our store are transactions directly between you and Mint Creek.

By using the Services, you acknowledge that Shopify is not responsible for any aspect of a sale between you and Mint Creek, including any injury, loss, or damage arising from products purchased from Mint Creek.

To the fullest extent permitted by law, you release Shopify and its affiliates from claims, damages, and liabilities arising from or relating to purchases and transactions with Mint Creek.


SECTION 11 — PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy, available at https://mintcreek.co/policies/privacy-policy. Certain personal information may also be processed under Shopify’s privacy practices, available at https://privacy.shopify.com.

Because Shopify hosts the Services, Shopify collects and processes certain information about your access to and use of our store. Information submitted through the Services may be shared with Shopify and other service providers, including providers located outside your state or country, when necessary to process transactions, fulfill orders, operate our store, prevent fraud, and provide related services.

SECTION 12 — FEEDBACK, REVIEWS, AND SUBMISSIONS

If you submit, upload, post, email, tag, or otherwise provide reviews, photographs, ideas, suggestions, feedback, proposals, or other content relating to Mint Creek or the Services (“Feedback”), you grant Mint Creek a nonexclusive, perpetual, worldwide, transferable, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, display, and otherwise use that Feedback in any lawful medium, including for commercial, marketing, promotional, and operational purposes.

You represent that:

  1. You own or have the necessary rights to provide the Feedback.

  2. Your Feedback does not violate another person’s intellectual-property, privacy, publicity, or other rights.

  3. You have disclosed any compensation, discount, free product, or incentive associated with the Feedback.

  4. Your Feedback is accurate and complies with applicable law and these Terms.

We are not obligated to keep Feedback confidential, compensate you for Feedback, publish it, retain it, or respond to it.

We may monitor, edit, decline, or remove Feedback that we reasonably believe is unlawful, fraudulent, offensive, threatening, defamatory, misleading, infringing, or otherwise inconsistent with these Terms.


SECTION 13 — ERRORS, INACCURACIES, AND OMISSIONS

Occasionally, information on the Services may contain typographical errors, inaccuracies, or omissions involving product descriptions, pricing, promotions, shipping charges, transit times, inventory, or availability.

We reserve the right to correct errors, update information, and cancel or modify affected orders at any time, including after an order has been submitted. If we cancel an order after payment has been collected, we will refund the applicable amount.

SECTION 14 — PROHIBITED USES

You may access and use the Services only for lawful purposes. You may not use the Services, directly or indirectly:

  1. For an unlawful, fraudulent, abusive, or malicious purpose.

  2. To violate any international, federal, state, provincial, or local law or regulation.

  3. To infringe or violate intellectual-property, privacy, publicity, or other rights.

  4. To harass, threaten, abuse, defame, intimidate, or harm another person.

  5. To submit false, fraudulent, or misleading information.

  6. To transmit malware, viruses, or other harmful code.

  7. To send unsolicited advertising, spam, chain letters, or similar solicitations.

  8. To impersonate another person or misrepresent your identity or affiliation.

  9. To collect or track another person’s personal information without authorization.

  10. To interfere with or circumvent the security, functionality, access controls, or authorization features of the Services.

  11. To reproduce, scrape, extract, copy, sell, resell, or exploit the Services or their content without authorization.

  12. To engage in conduct that restricts another person’s use of the Services or could expose Mint Creek, Shopify, or other users to harm or liability.

We may suspend or terminate access to the Services if we reasonably determine that these Terms have been violated.


SECTION 15 — AUTOMATED ACCESS AND AGENTS

An “Agent” means software or a service that takes autonomous or semi-autonomous action on behalf of a person or organization.

An Agent may not access or interact with the Services if we have asked it to stop or if its activity violates these Terms, applicable law, our technical restrictions, or instructions communicated through the Services.

Agents must accurately identify themselves where technically required, must not misrepresent automated activity as human activity, and must not circumvent CAPTCHAs, access controls, rate limits, robot-exclusion measures, or other systems intended to control automated access.

We may restrict or block automated access to protect the Services, our customers, and our business.


SECTION 16 — TERMINATION

We may suspend or terminate your account or access to all or part of the Services if you violate these Terms, engage in suspected fraud or abuse, or create a security or legal risk.

You remain responsible for amounts properly incurred before termination.

Provisions that by their nature should survive termination will remain in effect, including provisions addressing intellectual property, Feedback, disclaimers, limitations of liability, indemnification, governing law, and dispute-related obligations.

WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.


SECTION 18 — LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, MINT CREEK AND ITS OWNERS, AFFILIATES, PARTNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, TOGETHER WITH SHOPIFY AND ITS AFFILIATES, WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THE SERVICES.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE POSSIBILITY OF SUCH DAMAGES HAS BEEN ADVISED.

WHERE LIABILITY CANNOT BE ENTIRELY EXCLUDED, THE TOTAL LIABILITY OF MINT CREEK ARISING FROM OR RELATING TO THE SERVICES OR A PURCHASE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO MINT CREEK FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM OR THE MINIMUM AMOUNT REQUIRED BY APPLICABLE LAW.

Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, these limitations apply only to the extent permitted by law.


SECTION 19 — INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Mint Creek, Shopify, and their respective affiliates, partners, owners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, damages, liabilities, losses, and reasonable legal fees arising from:

  1. Your material breach of these Terms or any policy incorporated into them.

  2. Your violation of applicable law.

  3. Your violation of another person’s rights.

  4. Your unlawful or unauthorized use of the Services.

We will provide reasonable notice of an indemnifiable claim. We may control its defense and settlement at your expense, including the selection of counsel, but will not agree to a settlement imposing nonmonetary obligations on you without your reasonable consent. You agree to cooperate in the defense of the claim.


SECTION 20 — SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision will be enforced to the fullest extent permitted by law. Any unenforceable portion will be severed without affecting the validity and enforceability of the remaining provisions.


SECTION 21 — WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision under these Terms does not waive that right or provision.

These Terms and the policies or operating rules posted through the Services constitute the entire agreement between you and Mint Creek concerning your use of the Services and supersede prior or contemporaneous communications and agreements concerning that use.


SECTION 22 — ASSIGNMENT

You may not transfer, delegate, or assign these Terms or your rights or obligations under them without our prior written consent. Any unauthorized attempt to do so is void.

We may transfer or assign these Terms and our related rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, transfer of the Mint Creek business, or as otherwise permitted by law.


SECTION 23 — GOVERNING LAW AND VENUE

These Terms and any separate agreement through which we provide the Services are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.

To the extent permitted by law, you and Mint Creek consent to the personal jurisdiction and venue of the applicable state or federal courts located in Mecklenburg County, North Carolina.

Nothing in this section deprives a consumer of protections or legal rights that cannot be waived under applicable law.

You may review the current version of these Terms at any time on this page.

We reserve the right to update or replace these Terms by posting a revised version through the Services. If required by applicable law, we will provide additional notice of material changes.

Unless otherwise stated, revisions become effective when posted. The effective date shown at the top of these Terms indicates when they were last updated. Your continued use of the Services after revised Terms become effective constitutes acceptance of those revisions to the extent permitted by law.
